The Connecticut Banking Commissioner has recently entered a cease and desist order against Ulysses Partners and one of its managers, James E. Neilsen, was a Norwalk, Connecticut based certified public accountant. In addition to at one time being a CPA, James Neilsen was also formerly registered as a stockbrocker with Tradition Asiel Securities, Inc. and Sound Securities, LLC, as well as with the National Futures Association (NFA) as an associated person of Longship Alternative Asset Management.
According to the Connecticut Banking Commissioner, Ulysses Partners was formed to act as a" third-party marketer" to which was purportedly engaged in the introduction and marketing of hedge funds to financial institutions in exchange for the hedge funds paying Ulysses a fee. According to Connecticut Banking Commissioner, between November 2005 through December 2010, James Neilsen allegedly offered and sold approximately $10 million of securities to at least ten Connecticut investors, the majority of whom were Neilsen's CPA clients. According to the Connecticut Department of Banking, James Neilsen (individually and/or on behalf of Ulysses) allegedly led his CPA clients to invest in Ulysses by representing to them that the investment was an excellent one that would generate a high rate of return. In connection with the offer and sale of the promissory notes in Ulysses Partners, James Nielsen and/or Ulysses Partners are believed not to have provided investors with any offering document describing the business of Ulysses Partners or disclosing any of the risks of the promissory notes.
